- “Aged Shelf Entity” or “Entity”: A legally formed corporation, LLC, or similar business entity that was filed with the applicable Secretary of State on the Formation Date and has remained dormant with no operational activity, revenue, employees, tax filings, active bank accounts, or transaction history prior to transfer to the buyer.
- “Formation Date” or “Incorporation Date”: The objective, verifiable date on which the Entity was legally filed with the Secretary of State, as reflected in public records. This is distinct from any period of actual business operations.
- “Operating History” or “Operational Activity”: Actual business operations conducted under current ownership, including revenue, contracts, employees, tax filings, or other active conduct of trade or commerce. Dormant Entities have no Operating History prior to transfer.
- “Instant Legacy”: A marketing phrase referring to the immediate acquisition of a pre-existing legal Formation Date for an Aged Shelf Entity. It does not mean or imply prior Operating History, active business operations, or any guaranteed business outcomes.
Description of Our Products and Services
AssetProfile provides Aged Shelf Entities and may also offer related assets such as aged internet domains. Aged Shelf Entities are clean, dormant legal shelf companies. Upon purchase, a new Employer Identification Number (EIN) is typically required, and all active operations begin under the buyer’s ownership and management. Any domain history is separate from the legal Entity and reflects the domain’s own prior online activity (if any).
We provide accurate descriptions of these assets based on available public records.
Important Disclosures Regarding Aged Entities
We sell Aged Shelf Entities with an earlier Formation Date than a brand-new filing would provide. The Formation Date is a verifiable public record. It does not represent or imply any Operating History or period of active business operations.
- Aged Shelf Entities are dormant legal shelf companies at the time of transfer.
- They have no prior EIN used for business purposes, no transaction history, and no Operational Activity.
- The buyer is solely responsible for all post-purchase actions, including obtaining a new EIN, updating records, obtaining licenses/permits, and conducting business in full compliance with all applicable federal, state, and local laws.
- The buyer is solely responsible for all representations made to third parties (lenders, contractors, customers, insurers, government agencies, etc.), including accurate statements about the Entity’s Formation Date and the start of any Operating History under the buyer’s ownership.
“Instant Legacy” and similar phrases refer solely to the immediate acquisition of a pre-existing legal Formation Date for a dormant Entity. They do not mean or promise Operating History, active business operations, or any specific outcome.
User Responsibilities and Acknowledgments
By purchasing or using any Aged Shelf Entity, you expressly acknowledge and agree that:
- You understand the Entity is a dormant legal shelf company with no prior Operational Activity.
- You will accurately represent the Entity’s Formation Date and the start of any Operating History under your ownership in all applications, bids, contracts, marketing, and communications.
- You will not misrepresent the Entity’s Operating History, years in business, or activity during any period prior to your acquisition and commencement of operations.
- You are responsible for complying with all laws regarding business representations, including but not limited to consumer protection statutes such as the Michigan Consumer Protection Act.
- You have legitimate reasons for acquiring an Aged Shelf Entity (for example, aligning legal formation with your actual experience in a trade or profession) and will use it only for lawful purposes.
- You have read and understood all disclosures provided on this website and in purchase documents.
No Guarantees or Representations of Outcomes
We make no guarantees, warranties, or representations that purchasing or using an Aged Shelf Entity will result in any specific benefit, including but not limited to improved credit profiles, faster approvals for financing or contracts, enhanced credibility with third parties, or success in bids or leasing. Any name-related issues, disputes, or liabilities arising from your selection or use of a company name are your sole responsibility.
Indemnification
You agree to indemnify, defend, and hold harmless AssetProfile and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of any Aged Shelf Entity, your representations or statements to third parties, or your violation of these Terms or applicable law.
Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Albany County, Wyoming.
Changes to These Terms
We may update these Terms at any time. Your continued use of the website after changes are posted constitutes acceptance of the updated Terms.
