There are good reasons why we don't file shelf companies in GA.

- GA companies mandate disclosure of the owners of the corporation or LLC on the county and municipal business license. A change of owners resets the respected date of the aged shelf company. If they did file those business licenses, then a shift of ownership will be detected.

- If you live or do business in GA, acquire an aged shelf company from a state that doesn't request reporting of the owners of the company.
- Then file that company into GA as a foreign corporation. The filing fee is $225 plus the documents issued from the other state. It's a standard process.
- Is the age of the company retained when you file it into GA? Yes. You'll have two dates; the original incorporation date of the company and the date it expanded into GA. It's a standard process and that's why there is a form for it. When a retailer expands into GA, it doesn't reset the age of the company that opened a new store in GA. The original age of the company remains the same.
- Therefore, you're better off buying a shelf company from a state where the owners are not reported and then filing the company into GA as a foreign corporation. Then file the county and municipal business licenses.
Do I acquire a Georgia shelf company or a shelf company from another state?
Please consider these issues:
FEES
When acquiring any shelf company, you are paying the fees that the previous owner paid, maintenance fees plus a premium. This means that a quality shelf company from Georgia is extraordinarily high because of the higher incorporation and maintenance costs.
On the contrary, a company from Montana, Wyoming or New Mexico cost less to form and maintain. Therefore, the cost of the shelf company is much less, when acquiring a company from Montana, for example, and then filing it into Georgia as a foreign corporation.
BUSINESS LICENSES & REPORTS
Further, Georgia requests that the owners are disclosed on annual reports and licenses. Lacking these GA licenses are a problem when applying for corporate credit. And since these licenses (if they would exist), don't have your name on them, a change of ownership is evident.
The states of Montana, Wyoming and Mexico don't ask for information on the owners of the companies. Therefore, any change of ownership is not reported. Remember that a change of ownership may be reset the date of the shelf corporation or shelf LLC.
